Constellation Software's Vela LatAm Buys Penso to Expand in Brazil
Vela LatAm has agreed to acquire Brazilian IT and cybersecurity provider Penso, marking its sixth acquisition in Brazil this year.

Vela LatAm, the Latin American division of Canada’s Constellation Software, has agreed to acquire Penso, a São Paulo-based provider of managed IT and cybersecurity services. The transaction marks Vela LatAm’s sixth acquisition in Brazil in 2026, expanding its local portfolio to 25 companies. The deal is currently awaiting regulatory approval from Brazil's antitrust authority, the Administrative Council for Economic Defense (CADE). Financial terms of the transaction were not disclosed.
The acquisition highlights how global software consolidators are aggressively buying up local IT and cybersecurity firms to tap into Brazil's rapidly growing digital defense market. As Brazilian businesses and government agencies face increasingly sophisticated cyber threats, the demand for robust information security and managed cloud services has surged. Penso, which has operated for over 20 years, serves approximately 1,600 corporate and public sector clients, employs 270 people, and manages five data centers across Brazil.
Under the terms of the agreement, Vela LatAm will maintain its traditional long-term holding model. Penso will retain its original brand, executive leadership, and operational team, allowing the company to preserve its existing corporate culture while leveraging the financial backing of its new parent company. Paulo Felipe Martins, CEO of Vela LatAm, stated that the group’s role is to support Penso's trajectory and expand its capacity to invest in products and customer service.
This transaction reflects a broader trend of consolidation in the Brazilian technology sector, where foreign holding companies are acquiring established niche players to build scale. For foreign observers, the deal underscores the resilience of Brazil's enterprise software market and the growing strategic importance of localized cybersecurity infrastructure.
