Brazilian Property Firms Consolidate as Helbor Prepares to Delist
HBR Realty acquires an 83.16% controlling stake in homebuilder Helbor, initiating a corporate merger to delist the developer from the São Paulo exchange.

Global real estate investors tracking South American property markets are seeing a major consolidation in Brazil's residential and commercial sectors. A prominent Brazilian residential developer is preparing to exit the public exchange to merge its operations under its parent company, simplifying corporate structures in a challenging macroeconomic environment.
On October 28, 2026, commercial real estate firm HBR Realty acquired 111.3 million shares of homebuilder Helbor Empreendimentos, securing an 83.16% controlling stake in the company. The transaction, structured as a public exchange offer (OPA) and authorized by Brazil's securities regulator, the CVM, valued Helbor at R$ 2.73 per share. Instead of cash, the deal was settled via a share swap, with HBR Realty delivering 90.8 million of its own shares to Helbor's participating shareholders.
This transaction clears the path for Helbor to cancel its public registration and delist from the Novo Mercado, the premium governance segment of the São Paulo stock exchange (B3). Both companies are already controlled by the Borenstein family, which founded Helbor in 1977. By combining operations, HBR Realty aims to eliminate duplicate administrative costs, pool landbanks, and cushion Helbor’s volatile residential development cycles with HBR's steadier recurring rental income from shopping malls and offices.
The consolidation comes as Helbor faces severe operational headwinds. According to operational previews released on October 20, 2026, Helbor's third-quarter launches plummeted 87.9% year-on-year, while its gross sales fell 25.6% to R$ 356.5 million. High interest rates in Brazil have weighed heavily on the real estate sector, prompting developers to seek shelter under larger, diversified parent groups.
For the remaining minority shareholders of Helbor who did not participate in the initial auction, a 30-day window has been opened from October 29 to November 28, 2026. During this period, they can voluntarily swap their shares under the same terms—receiving approximately 0.8155 HBR Realty shares for each Helbor share. Those who choose to keep their shares will remain partners in a private entity, which will no longer be regularly traded on the public exchange, severely limiting liquidity.
Market Exposure
While Helbor and HBR Realty are listed locally in Brazil, international investors typically access the Brazilian real estate market and broader corporate sector through broad-market emerging market equity funds or Latin American real estate investment trusts. These vehicles track diversified portfolios of large and mid-sized companies across South America, absorbing the impact of local corporate restructurings and delistings.
