Ambev SEC Filing Outlines Next Steps for Shareholder Payouts
Ambev detailed the timeline for its R$ 1.1 billion interest on capital distribution and a new buyback program in an SEC filing.

U.S. retail investors holding shares of foreign companies often face a confusing maze of local tax laws and multi-step corporate announcements before cash actually hits their brokerage accounts. For those holding the New York-listed shares of Brazilian beverage giant Ambev, a regulatory filing submitted to the U.S. Securities and Exchange Commission (SEC) has clarified the timeline and mechanics of how its recent cash distributions will be processed.
In its Form 6-K interim financial report filed on October 29, 2026, Ambev detailed the status of its "interest on capital" (IOC) distributions. This is a uniquely Brazilian corporate mechanism that functions similarly to a dividend but is treated as an interest expense by the company, allowing it to reduce its local corporate tax burden while shifting a withholding tax onto the receiving shareholder.
According to the October 29, 2026 filing, Ambev's board-approved July 2026 IOC distribution of R$ 0.0713 gross per share—totaling approximately R$ 1.1 billion in the aggregate—is scheduled to be paid to shareholders by December 31, 2026. The company noted that the exact payment date within this window will be determined by management. For U.S. investors holding the company's American Depositary Receipts (ADRs), eligibility was locked in based on the shareholder record date of September 23, 2026, on the New York Stock Exchange, with the shares trading ex-dividend since September 22, 2026.
Tax Withholding and Net Payouts
Because these payouts are structured as interest on capital rather than standard dividends, they are subject to a local Brazilian withholding income tax. The standard withholding rate is 17.5%, unless the investor qualifies for specific international tax treaty exemptions. After accounting for this local tax, the net distribution is estimated at R$ 0.0588 per share, which will then be converted from Brazilian Reais into U.S. dollars by the depositary bank before being deposited into brokerage accounts.
The filing also confirmed that Ambev concluded its previous fiscal year's distributions on October 6, 2026, paying out the final installment of its December 2025 IOC. That previous payment was distributed at a gross rate of R$ 0.1185 per share, yielding a net payout of R$ 0.1007 per share after local tax withholdings.
Alongside the dividend details, Ambev's third-quarter financial results showed a normalized net profit of R$ 4,393.6 million, representing a 14.3% increase compared to the third quarter of 2025. The company also announced a new share buyback program authorized on October 28, 2026, to repurchase up to 190,000,000 common shares through April 28, 2028, which management stated would not impact its ability to service debt or pay its mandatory dividends.
