American retail investors holding shares of the Latin American beverage giant Ambev S.A. have a clearer picture of their upcoming cash distributions and corporate buybacks. In a Form 6-K regulatory filing submitted to the U.S. Securities and Exchange Commission (SEC) on October 29, 2026, the company detailed its latest financial performance, confirmed its upcoming dividend timeline, and authorized a massive new share repurchase program.

Ambev, the São Paulo-based brewing powerhouse that dominates the South American beer market, reported a solid financial performance for the first nine months of 2026. According to the company's October 29, 2026 financial statements, net sales reached R$64.21 billion, up from R$63.44 billion during the same period in 2025. Net income for the nine-month period climbed to R$11.73 billion, compared to R$11.46 billion in the prior year, driven by steady organic volume growth and disciplined cost management.

For U.S. shareholders, the primary focus of the SEC filing is the execution of the previously approved "Interest on Capital" (a distinct Brazilian corporate structure for dividend distribution). The board confirmed a gross distribution of R$0.0713 per share, which is scheduled to be paid to investors by December 31, 2026. Because this distribution is taxed at the source under Brazilian law, the standard 17.5% withholding tax will apply to most foreign accounts, resulting in an estimated net payout of R$0.0588 per share. The critical record date to qualify for this payment was September 23, 2026, for holders of the New York-listed shares.

Beyond the cash payout, Ambev's board of directors approved a major capital allocation shift during their October 28, 2026 meeting. The company is launching a new share buyback program to repurchase up to 190 million common shares, representing approximately 4.7% of its outstanding equity. Based on the closing stock price on October 28, 2026, the full buyback is estimated to cost R$2.9 billion. The program will run through April 28, 2028, with the primary objective of canceling the repurchased shares to boost long-term shareholder value.
