Brazilian Rare Earths Limited (ASX: BRE / OTCQX: BRELY) has successfully completed the demerger of its Amargosa bauxite-gallium project into Alurion Resources Limited (ASX: ALU). The spin-off's initial public offering (IPO) closed at its maximum subscription of A$50 million ($33 million), valuing the newly formed Alurion at an implied undiluted equity value of A$256 million. Demand for the offering exceeded the maximum limit, reflecting robust investor appetite for Brazil's critical mineral assets.

The transaction cleanly separates the bauxite-gallium operations, allowing Brazilian Rare Earths to focus its capital and technical resources entirely on its high-grade Monte Alto rare earths project in Bahia, Brazil. The parent company retains a strategic 16% equity stake in Alurion, valued at approximately A$41 million at the IPO offer price of A$1.05 per share. Alurion is expected to officially list on the Australian Securities Exchange (ASX) on July 30, 2026, with normal settlement trading scheduled to begin on August 3, 2026.

For global investors looking to invest in Brazil through specialized resource plays or broader vehicles like the Brazil ETF (EWZ), the spin-off provides a highly targeted entry point. Brazilian Rare Earths is currently advancing its flagship Monte Alto District, with a highly anticipated Scoping Study scheduled for release in August 2026. This study is expected to outline the preliminary economic parameters of its ultra-high-grade rare earth, niobium, and scandium mineralized trends.

The strategic demerger comes amid steady activity on the Brazilian stock market today. In local trading on the B3, the benchmark Ibovespa index edged down slightly to 176,723.62 (-0.46%). Among heavily traded B3 stocks, state-run oil giant Petrobras (PETR4) rose to 42.95 (+0.87%), mining giant Vale (VALE3) gained to 75.68 (+0.77%), and financial heavyweight Itaú Unibanco (ITUB4) slipped to 42.56 (-0.79%).
