American retail investors holding shares of medical education provider Afya Limited saw their holdings drop on Wednesday. The Nasdaq-listed company fell 5.45% during the October 28, 2026 trading session, closing at $10.24 per share, with trading volume running about 14% above its daily average. The slide comes as Wall Street continues to digest the company's massive, recently announced merger with domestic rival Yduqs Participações.

Unlike most Brazilian companies, which trade in New York via American Depositary Receipts (ADRs), Afya is structured with a direct primary listing on the Nasdaq. This makes it one of the few Brazilian corporate equities that US retail investors can trade natively in their brokerage accounts without extra cross-border fees.

The recent volatility is tied directly to a definitive merger agreement signed on September 23, 2026, which will combine Afya's dominant medical school network with Yduqs' massive post-secondary digital and physical footprint. Under the terms of the deal, Afya will merge into Yduqs, which will act as the surviving holding company. Afya shareholders are slated to control 69% of the combined entity, while Yduqs shareholders will hold the remaining 31%. The combined group projects an annual revenue of approximately BRL 10 billion ($1.87 billion USD) and BRL 2.2 billion in total synergies.

However, the transaction introduces a complex transition for US-based retail investors. Because Yduqs is listed on the Novo Mercado segment of Brazil's B3 exchange, the merger will result in Afya's delisting from the Nasdaq. Afya's Class A and Class B common shares will be canceled, and US shareholders will receive newly issued shares of the Brazilian-listed combined company. This shift moves the asset out of direct US market custody, exposing retail investors to direct foreign exchange fluctuations and international trading rules.

The Regulatory Road Ahead

Beyond the structural changes to the stock, the deal faces a lengthy regulatory timeline in Brazil. The transaction requires formal antitrust clearance from Brazil's Administrative Council for Economic Defense (CADE), the country's independent antitrust regulator.

During the company's Investor Day on October 20, 2026, executives noted that the CADE antitrust review is expected to take between nine and 11 months, pushing the potential deal closure to between June and August of 2027. Investors are also closely monitoring political risks. Brazil's higher education sector is highly sensitive to government funding programs, such as the federal student loan program (FIES). Any shift in federal budget allocations or regulatory changes leading up to the 2026 general elections could alter the valuation and synergy assumptions of the combined company.

Afya Limited is listed in New York on the Nasdaq under the ticker AFYA. While the company currently trades directly on a US exchange, the pending merger with Yduqs means the stock is on track to be delisted from the Nasdaq, with shareholders eventually receiving shares listed on Brazil's B3 exchange.
