The capital structure of Latin American e-commerce and fintech giant MercadoLibre, Inc. is shifting as the company taps global debt markets to fuel its next phase of growth. The Montevideo, Uruguay-headquartered retail powerhouse officially closed a public offering of $1 billion in senior unsecured notes on September 14, 2026, according to the company's regulatory filings with the SEC.

The 10-year notes carry a fixed annual coupon rate of 5.850% and are scheduled to mature on September 14, 2036. According to a press release issued by MercadoLibre, the transaction attracted robust interest from more than one hundred institutional investors, allowing the company to price the debt at the same spread as its prior seven-year issuance.

The capital injection is designed to bolster liquidity and fund general corporate purposes as MercadoLibre faces intensifying competition. In Brazil, which stands as the company's largest and most lucrative market, the battle for digital dominance has reached a fever pitch. The company is actively defending its market share against deep-pocketed global rivals, making the company's capital deployment in Brazil crucial to maintaining its regional lead.

Raising the Stakes Against Amazon

The fresh capital arrives at a critical juncture for regional retail dynamics. According to an analysis by Fitch Ratings, the Amazon-MercadoLibre competition in Brazil is driving structurally lower margins across the sector. MercadoLibre has aggressively lowered its free shipping thresholds and expanded its credit card offerings through its fintech arm, Mercado Pago, to lock in consumer loyalty.

To support this rapid scale-up, the company’s debt profile is expanding. The new $1 billion bond issuance increases MercadoLibre's consolidated indebtedness from $10.63 billion to $11.63 billion on a pro forma basis, using financial figures reported as of June 30, 2026. Credit rating agencies, including S&P Global Ratings and Fitch Ratings, assigned a stable "BBB-" investment-grade rating to the new notes, noting that the company's conservative leverage ratio—expected to remain under 2x EBITDA over the next two years—remains highly manageable.

The notes are fully and unconditionally guaranteed by MercadoLibre’s key operating subsidiaries across Brazil, Mexico, Chile, and Colombia. These specific subsidiaries generated approximately 65% of the parent company's consolidated revenue as of June 2026, providing strong structural backing for the newly issued debt.
