A major corporate governance showdown is coming to a head at Brazilian mining giant Vale S.A. (NYSE: VALE; B3: VALE3). Previ, the pension fund for employees of state-controlled Banco do Brasil and one of Vale’s largest individual shareholders with a 7.01% stake, has forced an extraordinary shareholders' meeting to reshape the company's leadership. The high-stakes meeting, scheduled for today, July 22, 2026, follows the sudden resignation of former chairman Daniel Stieler on July 6, who stepped down early rather than face a public ouster vote.

The battle for control of the board has now shifted to a direct race for the chairmanship. Previ is backing independent director Manuel Lino "Ollie" Oliveira, a veteran of Anglo American, to take over the top spot, framing his candidacy as a step toward stronger independent oversight and long-term value creation. However, a majority of Vale’s board has pushed back against Previ's aggressive maneuvers, nominating current vice chairman Marcelo Gasparino as an alternative candidate for the chairmanship.

As global investors watch closely, early remote voting data released on the eve of the meeting shows Oliveira leading the chairman race with 30.37% of outstanding shares in his favor, compared to 17.53% for Gasparino. Meanwhile, in the parallel vote to fill the vacant board seat, the board's recommended candidate, Ieda Gomes Yell, holds a commanding lead of 32.81% over Previ’s nominee, José Maurício Pereira Coelho, who stands at 14.48%. The final outcome will heavily depend on how international investors holding American Depositary Receipts (ADRs) cast their votes.

This boardroom friction comes amid broader market movements in Brazil. On the B3 stock exchange today, the Ibovespa index (IBOV) edged down slightly by 0.03% to 173,325.66 points. Vale's local shares (VALE3) rose 0.61% to 72.37 BRL, while state-run oil firm Petrobras (PETR4) gained 1.24% to 41.66 BRL, and financial heavyweight Itaú Unibanco (ITUB4) climbed 0.54% to 42.53 BRL.
