Itaúsa Backs Aegea Capital Increase to Tackle Leverage
Holding company Itaúsa commits up to R$ 1.5 billion to support a planned capital increase by sanitation giant Aegea, reinforcing liquidity and capital discipline.

Brazilian investment holding company Itaúsa (ITSA4) has committed to back a major capital injection for sanitation giant Aegea Saneamento. Aegea has called an Extraordinary General Meeting (EGM) for July 28, 2026, to vote on a proposed capital increase ranging from R$ 1.5 billion to R$ 2.1 billion. The strategic move is designed to reinforce the utility provider's liquidity, address rising leverage, and optimize its capital structure following recent financial and operational pressures.
Itaúsa, which holds a 13.27% total equity stake in Aegea, announced it intends to subscribe to between R$ 730 million and R$ 1.5 billion of the newly issued common shares using its existing cash reserves. The final amount will depend on how other major shareholders, such as Equipav and Singapore's sovereign wealth fund GIC, exercise their respective preemptive rights. The capital injection is viewed as a positive signal for Itaúsa's disciplined capital allocation strategy, prioritizing the financial health and deleveraging of its core portfolio assets.
The decision to inject capital directly into Aegea follows a period of strict capital discipline by the sanitation company and its backers. Notably, Aegea and its partners opted out of the highly anticipated privatization of Minas Gerais state utility Copasa in June 2026, choosing not to submit a proposal after assessing the strict financial boundaries required to maintain sustainable value. By focusing resources on internal deleveraging rather than aggressive, high-cost acquisitions, the partners are prioritizing balance sheet health.
This corporate development unfolds amid a mixed day for the Brazilian stock market. As of today, the benchmark Ibovespa index (IBOV) is trading at 172,020.69 points, down 0.25%. Among major Brazilian equities, Petrobras (PETR4) rose 1.77% to R$ 38.44, Vale (VALE3) fell 2.04% to R$ 76.2, and Itaú Unibanco (ITUB4)—Itaúsa's primary financial asset—slipped 0.31% to R$ 42.43.
