BlackRock is back above the 10% mark at B3, the company that runs Brazil's stock exchange.

The numbers. In a letter disclosed by B3 on October 7, BlackRock said that, as of October 5, accounts it manages on behalf of clients held 504,009,710 common shares and 1,479,668 American Depositary Receipts (ADRs) representing another 4,439,004 shares. That adds up to 508,448,714 common shares, or about 10.075% of all B3 common shares. BlackRock also reported 10,532,255 cash-settled derivatives linked to B3 shares, about 0.209% of the total.

Down, then up again. The position had slipped below the threshold over the summer. In a filing dated August 18, BlackRock reported 502,556,775 shares as of August 14, about 9.959% of the total, plus derivatives equal to roughly 0.543%. Brazilian rules require investors to disclose when their stake crosses 5%, 10%, 15% and so on, in either direction, which is why each move around the 10% line produced a new filing.

What it is, and what it is not. BlackRock acts here as an investment manager, buying for its clients' funds and accounts. In both letters it says the stake is "strictly for investment," with no intention of changing control or management of the company, and that it has signed no agreements on voting or on buying and selling B3 shares.

Why it matters in English. B3 is the only stock exchange operator in Brazil, so every trade in Brazilian shares, including the ones held by emerging-market funds, runs through it. A large, long-term investor keeping more than a tenth of the company is a signal about how global money looks at Brazil's market infrastructure. It is not a recommendation, and it does not tell you where the shares go next.
