Regulatory changes restrict the public offering of IVBP11 quotas, triggering a six-month lock-up and delaying the final liquidation timeline for XPIN11.

The final liquidation timeline for the Brazilian real estate fund Invista Industrial FII (XPIN11) has been significantly extended following regulatory adjustments required by the Securities and Exchange Commission of Brazil (CVM) and Anbima. In a material fact released by the fund manager, Invista Real Estate, the final distribution of Invista Business Park FII (IVBP11) quotas to XPIN11 holders has been delayed due to a mandatory six-month lock-up period. The delay shifts the definitive wind-down and the cancellation of XPIN11's registration on the B3 exchange into 2027.

The delay stems from regulatory requirements that restricted the initial public offering of IVBP11 quotas exclusively to qualified investors, rather than the general public. Consequently, under local rules, a six-month lock-up period must be observed from the closing of the offering—indicatively scheduled for August 31, 2026—before these quotas can be directly delivered to and traded by retail investors. During this lock-up, XPIN11 shareholders will remain indirect holders of the underlying IVBP11 assets. Following the lock-up, a general assembly will be called to officially transition IVBP11 to a general-investor fund.

Despite the delay in the final asset delivery, the initial phase of the liquidation remains on track. The partial amortization scheduled for July 28, 2026, will proceed as planned, distributing XP Log FII (XPLG11) quotas and R$18 million in cash to current shareholders. Investors looking to invest in Brazil real estate funds will continue to receive at least 95% of cash-regime earnings during the transition period.

This restructuring comes amid broader volatility in Brazilian equities. In the Brazil stock market today, the benchmark Ibovespa index (IBOV) fell 1.52% to 174,041.95. Major B3 stocks also traded lower, with Petrobras (PETR4) dropping 1.72% to R$42.21, Vale (VALE3) down 0.58% to R$75.24, and Itaú Unibanco (ITUB4) slipping 1.08% to R$42.1.
