TRX Real Estate Fundo de Investimento Imobiliário (TRXF11), one of the most liquid Real Estate Investment Trusts (FII) on the B3 exchange, has announced a massive capital raise of up to R$10 billion following its largest-ever property acquisition, signaling a significant portfolio shift toward logistics. The fund's 13th issuance, which comprises an initial R$5 billion offering with the potential for a 100% additional lot, is set to become the largest offering ever recorded in the Brazilian FII industry. This capital injection is intended, in part, to fund a R$2.13 billion acquisition package from Cy.Capital, transforming TRXF11’s asset profile.

The R$2.13 billion deal from Cy.Capital includes four logistics warehouses and one high-end corporate building, fundamentally recalibrating the fund's Gross Leasable Area (GLA). According to the manager's announcement, the transaction will immediately make logistics assets the largest segment in the portfolio, accounting for 45.11% of total GLA. The properties were acquired at a projected average annual cap rate of 8.19%, a yield that will support the fund's dividend distribution guidance as it absorbs the new assets. This aggressive expansion into logistics mirrors a broader institutional preference for industrial and warehousing assets, driven by the continued growth of e-commerce and a rising demand for Grade A storage facilities in Brazil.

The scale of the up to R$10 billion capital raise highlights the exceptional appetite for large-scale, high-quality real estate opportunities in the Brazilian financial market. While the broader Ibovespa fell 1.23% to 175,546.36 today, and the IFIX—the index tracking FII performance—closed down 0.58% at 3,760.11, the market continues to support robust fundraising for the best-positioned Real Estate Investment Trusts. In the first half of 2026 alone, FII offerings totaled R$39.5 billion, underscoring the market's high liquidity and investors' ongoing reliance on these vehicles for inflation-linked income and capital appreciation, even amid a challenging rate environment.

For investors tracking the Brazil FII space, this transaction solidifies TRXF11's position as a potential market behemoth. The mechanism behind the growth relies on the manager's ability to successfully execute the record-breaking capital raise and then efficiently integrate the newly acquired assets.
