SPX Capital’s active management Logistics FII, the SPX Real Estate Desenvolvimento de Galpões Logísticos Feeder Private (SPXG11), has launched a third issuance targeting a capital raise of up to R$20 million from qualified investors Brazil. The offering price is set at R$11.16 per share, a move designed to significantly expand the capacity of the small, development-focused fund to acquire and create new assets within the Brazil real estate sector. The issuance, the third for the FII's single class of shares, is a direct move to execute the fund’s core strategy of developing new logistical properties, a segment that continues to attract capital on the B3 despite limited liquidity on the secondary market for development-stage vehicles.

The capital raise is crucial for the vehicle, which is still in its early stages of development, having commenced operations in 2024 with net equity of approximately R$7.5 million. The resources generated from the issuance will be channeled toward acquiring shares of the fund's master class, aligning with its regulated investment policy to fund the development of logistical assets. As a development fund restricted to qualified investors, SPXG11 currently registers no history of dividend distribution and possesses limited liquidity on the secondary market, which is typical for funds focused on asset creation rather than immediate income generation. The offering is being conducted in a "best efforts" regime, with BTG Pactual acting as administrator.

The focus on asset creation through a dedicated Logistics FII offers a specific opportunity for high-net-worth participants to gain early exposure to a new portfolio of Brazil real estate logistics properties. While the broader B3 market shows moderate gains today, with the Ibovespa rising 0.74% to 175,334.45, the SPXG11 offering is disconnected from the daily volatility of listed stocks like Petrobras (PETR4), which fell 2.84% to 41.01. Instead, the focus remains on the long-term execution of the development strategy, providing a non-market correlated element to a qualified investor's asset allocation.

Investors tracking the offering should watch for the conclusion details, as the issuance can be concluded partially only if it successfully raises a minimum of approximately R$10 million. If the offering fails to meet this minimum threshold, the process could be canceled. The ability of SPX Capital to reach or exceed this R$10 million floor will serve as the immediate indicator of market confidence in the fund’s ability to scale its active strategy and advance its development pipeline in the highly competitive Brazilian logistics sector.
