The Hedge Brasil Shopping real estate fund (HGBS11) has approved its 12th share issuance, aiming to raise an initial R$ 243.6 million. The primary offering, which is structured under automatic registration with the Brazilian Securities and Exchange Commission (CVM), is targeted exclusively at professional investors. If there is strong demand, the fund can trigger a 25% overallotment option, pushing the total transaction value to R$ 307.5 million.
The issue price has been set at R$ 20.30 per share, which directly matches the fund's net asset value (NAV) calculated as of June 30, 2026. Including a distribution fee of R$ 0.20 per share, the total subscription cost for participating institutional investors will be R$ 20.50 per share. For global players looking to invest in Brazil, this private-placement style issuance allows large-scale institutional buyers to build or expand exposure to prime shopping mall assets at NAV without causing secondary market price distortions on the B3 exchange.
The capital raise comes amid a broader consolidation phase for Brazilian real estate funds (FIIs). While the administrator has not yet disclosed specific acquisition targets for the fresh capital, HGBS11 has been actively managing its portfolio, which recently included the sale of a 19% stake in the Jardim Sul shopping mall in São Paulo to recycle capital.
This corporate action coincides with mixed trading on the local exchange. In the Brazilian stock market today, the benchmark Ibovespa index slipped slightly by 0.20% to 173,371.34 points. Among widely watched B3 stocks, state-run oil giant Petrobras (PETR4) gained 0.61% to trade at R$ 41.15, mining heavyweight Vale (VALE3) fell 1.38% to R$ 71.93, and financial bellwether Itaú Unibanco (ITUB4) rose 0.81% to R$ 42.30.
