Amaggi and FS Complete $100M Deal, Boosting Corn-Ethanol Fiagros
Amaggi has finalized its $100 million primary capital injection to acquire a 40% stake in FS, strengthening Mato Grosso's corn supply chain and backing regional land funds.

Brazilian agribusiness giant Amaggi has officially completed its acquisition of a 40% stake in FS, the pioneer of 100% corn-based ethanol in Brazil. The transaction, which was cleared by the antitrust regulator CADE, includes a $100 million primary capital injection directly into FS, with J.P. Morgan reporting the total transaction value at approximately $815 million including secondary share purchases. This strategic alliance creates a massive, vertically integrated player in Mato Grosso, effectively linking Amaggi’s extensive grain origination, logistics, and trading network with FS’s biofuel production footprint.
The completion of this deal comes at a pivotal moment for Brazil's biofuel sector. Corn ethanol accounted for 27% of all ethanol produced in Brazil's Center-South region during the 2025/26 harvest, up from near-zero a decade ago. By securing a direct supply chain from farm to fuel plant, the partnership reduces operational risks and guarantees steady demand for regional grain production. For investors, this consolidation strengthens the underlying economics of agricultural land-holding Fiagros (agribusiness translation funds) like SNFZ11, which focus heavily on Mato Grosso's farmland and crop infrastructure.
On the corporate front, FS will utilize the primary capital to fund its next phase of growth, which includes a fourth ethanol plant in Campo Novo do Parecis scheduled to start operations by the end of 2026. While both companies will continue to operate as separate corporate entities, the partnership establishes exclusivity, meaning any future corn-ethanol investments by Amaggi must be routed through FS.
The positive momentum in the agribusiness sector coincided with broader gains in the Brazilian market. The B3's benchmark index, the IBOV, rose 1.22% to 172,742.12 points. In corporate trading, state-run oil firm PETR4 fell 1.11% to 39.21 BRL, mining giant VALE3 edged up 0.62% to 73.15 BRL, and private lender ITUB4 climbed 1.67% to 42.59 BRL.
