Shell Joint Venture Raízen Clears $4 Billion Brazil Tax Dispute
Shell's Brazilian biofuel joint venture Raízen has settled a R$ 22.4 billion tax dispute, clearing a key hurdle in its $12.7 billion restructuring.

Global energy giant Shell Plc is one step closer to untangling the massive financial restructuring of its Brazilian biofuel joint venture. Raízen S.A., the world's largest sugarcane processor and a key pillar of Shell's long-term sustainable fuel supply chain, has cleared its largest legal hurdle by settling a multi-billion dollar tax dispute with the Brazilian government.
On October 28, 2026, Raízen announced it entered into a federal tax transaction with Brazil’s Office of the Attorney General of the National Treasury (PGFN) and the Federal Revenue Service (Receita Federal). The agreement settles R$ 22.4 billion (approximately $4 billion) in outstanding federal tax liabilities. Under the terms of the deal, Raízen secured R$ 8.5 billion in discounts on fines and interest, reducing its direct portion of the liability to R$ 8.2 billion. The company will clear this remaining balance using R$ 5.7 billion in tax loss carryforwards and a cash payment of R$ 2.5 billion.
This tax settlement is a critical condition precedent to implementing Raízen's R$ 64.7 billion ($12.7 billion) extrajudicial restructuring plan. The company, which is co-owned by Shell and Brazilian infrastructure conglomerate Cosan S.A., filed for the court-supervised out-of-court reorganization in March 2026 after grappling with high local interest rates, poor weather, and a ballooning debt burden. The restructuring plan, which has secured over 75% creditor support, includes a debt-for-equity swap that could leave financial creditors holding a majority stake in the company, alongside a planned capital injection from Shell.
Resolving the federal tax liabilities removes a major layer of political and regulatory risk for the joint venture. In Brazil, complex and shifting tax codes frequently lead to protracted legal battles between major corporations and federal authorities, often depressing the valuations of local assets. By utilizing the federal transaction framework, Raízen has avoided years of litigation and established a clear path to execute its broader recapitalization plan, which remains subject to final court confirmation in São Paulo.
Shell's Stake in Raízen
Shell Plc, listed in New York, holds a 44% stake in Raízen and has committed to a R$ 3.5 billion capital injection pending satisfaction of all conditions precedent, including this tax settlement.
